Scope of Service
Callaborade provides B2B sales infrastructure and outbound execution services. This includes, but is not limited to, market analysis, ICP development, CRM configuration, email and LinkedIn outreach setup, automation workflows, analytics implementation and performance optimization.
Callaborade acts as an independent service provider. We do not guarantee specific revenue outcomes, deal closures or financial results. Results depend on market conditions, client offer quality and cooperation during execution.
Unless explicitly agreed in writing, Callaborade does not act as a legal representative, employer or contracting party for any third party.
Client Responsibilities
Clients agree to provide accurate business information, access to necessary tools (CRM, email domains, LinkedIn accounts, etc.) and timely feedback required for proper execution. Delays or incomplete information may affect performance and timelines.
Clients are responsible for ensuring that their offers, products and services comply with applicable laws in their respective jurisdictions.
Callaborade reserves the right to suspend or terminate collaboration in case of misuse or violation of these Terms.
Pricing, Payment and Refunds
All pricing is defined in individual service agreements, proposals or contracts. Payments are processed through secure third-party providers unless otherwise agreed.
Unless otherwise stated in a written agreement, service fees are non-refundable once work has commenced. Ongoing services may be subject to notice periods as defined in the individual agreement.
Intellectual Property
All materials, workflows, systems, documentation and content created by Callaborade remain the intellectual property of Online Services Everywhere LLC unless otherwise agreed in writing.
Clients retain ownership of their own business data, branding and proprietary materials.
Limitation of Liability
Callaborade strives to provide reliable and professional services but does not guarantee uninterrupted availability of digital systems or third-party tools.
We are not liable for indirect, incidental or consequential damages, including loss of revenue, business interruption or reputational impact. Liability is limited to intent and gross negligence to the extent permitted by applicable law.
Data Protection
We process personal and business data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR), the Ghana Data Protection Act, 2012 (Act 843), and relevant U.S. standards.

Modifications and Availability
We reserve the right to modify, update or discontinue website content or service offerings at any time. Temporary interruptions for maintenance or technical updates do not entitle users to compensation.
Governing Law and Jurisdiction
In accordance with our General Terms and Conditions agreed with clients, contractual relationships are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
Place of jurisdiction is Germany, to the extent legally permissible.
Severability Clause
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force. The invalid clause shall be replaced by a legally valid provision that most closely reflects the original intent.
